About the Role:
As Lead Commercial Counsel, you will own and drive all aspects of our commercial contracting function. Reporting directly to the General Counsel, you will play a critical role in negotiating complex agreements, building scalable processes, and partnering with cross-functional teams to enable the business while mitigating risk. This is a unique opportunity to build a function from the ground up in a fast-paced, high-growth environment.
Key Responsibilities:
Lead the drafting, review, and negotiation of complex commercial agreements, including SaaS agreements, enterprise-level MSAs, SOWs, DPAs, and partnership agreements.
Build and scale the commercial legal function, including creating playbooks, templates, and processes to drive efficiency and consistency.
Partner closely with Sales, Finance, and other teams to ensure contracts align with revenue recognition principles and other relevant accounting standards.
Track and report key metrics related to contract volume, cycle times, and other KPIs to identify areas for improvement.
Develop and implement strategies to optimize the contracting process, balancing speed and risk mitigation.
Provide practical, business-focused legal advice to internal stakeholders on a wide range of commercial matters.
Stay up-to-date on relevant laws, regulations, and industry trends impacting SaaS companies.
Train and mentor team members as the function grows.
About You:
Experience: 8+ years of relevant legal experience, with a strong focus on commercial contracting in the SaaS or technology sector. Extensive experience negotiating complex agreements with large enterprises.
Self-Starter: You thrive in fast-paced, startup environments and are comfortable building functions from scratch. You have experience creating playbooks, tracking metrics, and optimizing workflows.
Business-Minded: You understand the need for speed and can balance legal risk with business priorities.
Technical Knowledge: Familiarity with revenue recognition principles (ASC 606) and other relevant accounting standards.
Collaborative: Strong ability to partner with cross-functional teams and communicate effectively with stakeholders at all levels.
Education: J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction

The salary range for this position is $117,300 to $198,400. The salary range describes the minimum to maximum base salary range for this position across applicable US locations.
